1. Acceptance of Terms
By accessing or using any DNAi Systems product or service ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including fitness professionals ("Trainers"), their clients ("Clients"), healthcare information seekers, and any other visitors or users.
2. Service Descriptions
2.1 Asha
Asha is an AI-powered evidence-based wellbeing companion that provides health and wellness information grounded in peer-reviewed medical literature, personalized insights from your health context, and educational content to support informed health decisions.
2.2 Harley AI
Harley AI is an AI-powered fitness coaching platform that provides workout programming, client management for personal trainers, AI-generated exercise suggestions, nutrition tracking, wearable device integration, and business management tools for fitness professionals.
2.3 What Our Products Are NOT
No DNAi product is: a licensed healthcare provider; a substitute for professional medical advice, diagnosis, or treatment; a medical device as defined by the FDA, CDSCO, or any regulatory body; an emergency service of any kind; or a replacement for in-person assessment by a qualified professional.
No DNAi product prescribes medications, diagnoses medical conditions, provides treatment plans, provides physical therapy, or replaces the professional judgment of qualified healthcare or fitness professionals.
2.4 AI Technology Acknowledgment
Our products are powered by Large Language Models (LLMs), vector retrieval systems, and other AI technologies. You acknowledge that:
- All AI-generated responses may contain errors, omissions, or outdated information.
- AI can produce "hallucinations" — content that appears plausible but is factually incorrect.
- Citations and references provided are for guidance; the AI may occasionally misinterpret or misapply sources.
- AI outputs require verification by qualified professionals before any clinical or practical application.
- Exercise form and physical safety cannot be assessed by AI — in-person evaluation is always recommended.
3. Medical and Health Disclaimer
3.1 Educational Purpose Only
All information provided by DNAi products is for educational and informational purposes only. Use of any DNAi product does not create a doctor-patient, therapist-patient, trainer-client, or any other professional relationship between you and DNAi Systems.
3.2 Professional Consultation Required
Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition. Never disregard professional medical advice or delay seeking it because of information received from any DNAi product.
3.3 Fitness and Physical Activity Risk
Physical exercise carries inherent risks of injury, including muscle strains, joint injuries, cardiovascular events, and in rare cases, death. You are voluntarily participating in physical activities suggested or tracked by the Service. You should obtain medical clearance from a physician before beginning any exercise program, especially with pre-existing health conditions.
3.4 Emergency Situations

DNAi products are not designed or intended for use in emergency situations. If you experience pain, injury, dizziness, shortness of breath, or any concerning symptoms during exercise, stop immediately and seek medical attention.
3.5 Wearable Data Disclaimer
Data from connected wearable devices (e.g., Whoop) is used to personalize recommendations but is not a substitute for medical monitoring. Recovery scores, HRV, and heart rate data are estimates, not clinical measurements. DNAi Systems is not responsible for the accuracy of third-party wearable data.
4. Independence and Non-Affiliation
4.1 Independent Products
DNAi Systems and its products (including Asha and Harley AI) are independent products of DNAi Systems. They are not affiliated with, endorsed by, sponsored by, or connected to any third-party platform, publisher, data provider, wearable device manufacturer, or healthcare organization, unless explicitly stated in a written partnership agreement published by DNAi Systems.
4.2 Third-Party Trademarks
All third-party product names, company names, and trademarks mentioned in our products or documentation are the property of their respective owners and are used solely for identification purposes. Their mention does not imply endorsement, affiliation, or sponsorship.
4.3 Content Sources
Health information provided by Asha is synthesized by AI from publicly available peer-reviewed literature, clinical guidelines, and established medical knowledge. DNAi Systems does not reproduce, redistribute, or serve licensed third-party content. All AI-generated responses are original syntheses, not copies of source material.
5. User Types and Responsibilities
5.1 All Users
- Provide accurate information to receive relevant guidance.
- Verify information with qualified professionals before making health or fitness decisions.
- Use products for their intended purposes only.
5.2 Trainer Users (Harley AI)
- You represent that you hold appropriate fitness certifications in your jurisdiction.
- You are responsible for the safety and appropriateness of workouts assigned to clients.
- AI-generated suggestions are tools for your professional use, not replacements for your expertise.
- You will not provide services outside your scope of practice.
- You are responsible for obtaining appropriate consent from clients before managing their data.
5.3 Client Users (Harley AI)
- Provide accurate health information including injuries, conditions, or limitations.
- Consult with your trainer and/or physician before performing unfamiliar exercises.
- Do not rely solely on AI recommendations without consulting your trainer.
5.4 Age Requirements
Asha: You must be at least 18 years old to use Asha, or use it under the direct supervision of a parent or legal guardian. This requirement applies independently of any other DNAi product access — holding a Harley AI account does not grant eligibility to use Asha below the age of 18.
Harley AI: You must be at least 16 years old. Users between 16 and 18 must have parental or guardian consent and should use the platform under supervision of a qualified trainer.
Each product's age requirement is enforced independently. Access to one DNAi product through shared authentication does not waive the age requirements of another.
6. Acceptable Use
You may not use any DNAi product to:
- Diagnose or treat injuries, medical conditions, or prescribe rehabilitation protocols.
- Encourage overtraining, extreme caloric restriction, or unsafe practices.
- Share account credentials, access other users' data, or use client data for unauthorized purposes.
- Upload illegal, harmful, threatening, or discriminatory content.
- Post misleading health claims or false testimonials.
- Reverse-engineer, decompile, or attempt to extract source code, AI models, or training data.
- Use automated tools (bots, scrapers) to interact with the platform without authorization.
- Circumvent rate limits, security measures, or access controls.
7. Our Fiduciary Commitments
DNAi Systems is built on a fiduciary design philosophy: the principle that our AI products should act in your interest, not against it. We hold ourselves to the following commitments:
- Loyalty: We do not accept payments from pharmaceutical companies, supplement brands, or equipment manufacturers to promote products. Our recommendations are never influenced by commercial relationships.
- Transparency: When our AI is uncertain, it will disclose that uncertainty. We do not present low-confidence outputs as authoritative.
- Evidence-based: We strive to ground health and fitness information in peer-reviewed sources and established professional standards.
- Data stewardship: We do not sell, trade, or share your health or fitness data with advertisers, insurers, or data brokers.
7.1 Scope of Fiduciary Commitment
These commitments are binding obligations of DNAi Systems as a technology provider. They define the standard of care we owe you regarding the design, operation, and governance of our AI products. Specifically:
- We commit to not placing commercial interests above your wellbeing in product design decisions.
- We commit to disclosing material conflicts of interest, AI limitations, and data practices.
- We commit to providing mechanisms for you to access, correct, and delete your data.
7.2 What This Does Not Include
Our fiduciary commitment as a technology provider is distinct from the duties owed by licensed professionals. DNAi Systems is not a licensed healthcare provider, financial advisor, or legal counsel. Our fiduciary commitment does not extend to:
- Clinical judgment, medical diagnosis, or treatment decisions, which remain the exclusive domain of your healthcare providers.
- In-person assessment of physical form, injury risk, or exercise safety, which requires a qualified trainer present.
- Guaranteeing the accuracy of any specific AI output, as AI systems are inherently probabilistic.
In the event of a conflict between AI-generated information and the advice of your licensed professional, always follow the professional's guidance.
8. Intellectual Property
8.1 DNAi Systems Property
All DNAi products, including software, algorithms, AI models, user interfaces, content, and design, are the property of DNAi Systems and are protected by intellectual property laws, including patent-pending technology (US Patent Application No. 19/290,471, status: pending). DNAi, Asha, and Harley are trademarks of DNAi Systems.
8.2 Your Content
You retain ownership of content you create or provide. Trainers retain ownership of workout programs, exercise descriptions, and coaching cues they create. Clients retain ownership of their personal data. By using our products, you grant DNAi Systems a license to host, display, and process this content solely for providing and improving the Service.
8.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by DNAi Systems without obligation to you.
9. Subscription and Payment
- Basic features are provided free of charge with limited functionality.
- Premium features are available through paid subscription, billed in advance monthly or annually.
- You may cancel at any time; cancellation takes effect at the end of the current billing period.
- 14-Day Satisfaction Guarantee: Request a full refund within 14 days of initial purchase by contacting support@dnai.systems. For EU users, this aligns with the statutory 14-day withdrawal period.
- Prices may change with 30 days' notice to existing subscribers.
10. Data Migration (Harley AI)
If you use Harley AI's data migration feature to transfer data from a third-party platform, you represent that you are the authorized account holder and that you have obtained necessary consent from your clients for the transfer of their data. You acknowledge that:
- The migration process uses your authenticated session to retrieve data you are entitled to access as an account holder, exercising your data portability rights under applicable law (GDPR Article 20, CCPA Section 1798.100).
- DNAi Systems performs the technical extraction on your behalf and at your direction. Both you and DNAi Systems share responsibility for ensuring the migration is conducted lawfully.
- The third-party platform may have terms that restrict automated data retrieval. DNAi Systems will make reasonable efforts to conduct migrations in a manner that minimizes disruption, but cannot guarantee the third-party platform will not object.
- Migration is performed on a best-effort basis without guarantee of completeness or accuracy.
Full migration terms, including detailed provisions on credential handling, data scope, and liability allocation, are presented at the time of migration and are incorporated into these Terms by reference.
11. Third-Party Integrations
Our products may integrate with third-party services (e.g., wearable devices, food databases, payment processors). Third-party integrations are subject to the respective provider's terms and privacy policies. DNAi Systems is not responsible for the availability, accuracy, or security of third-party services. You may disconnect third-party integrations at any time.
12. Limitation of Liability
12.1 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12.2 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DNAI SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PHYSICAL INJURY, PROPERTY DAMAGE, LOSS OF PROFITS OR REVENUES, LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
12.3 Cap on Liability
IN NO EVENT SHALL DNAI SYSTEMS' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
This cap does not apply where prohibited by applicable law, including but not limited to claims involving personal injury caused by negligence under EU member state law, Indian consumer protection law (Consumer Protection Act, 2019), or any other jurisdiction where liability caps for negligence causing bodily harm are unenforceable.
12.4 Assumption of Risk
YOU ACKNOWLEDGE THAT ANY HEALTH, FITNESS, OR FINANCIAL DECISIONS YOU MAKE BASED ON INFORMATION FROM DNAI PRODUCTS ARE MADE AT YOUR OWN RISK. DNAI SYSTEMS IS NOT RESPONSIBLE FOR ANY HEALTH OUTCOMES, PHYSICAL INJURIES, OR FINANCIAL LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
13. Indemnification
You agree to indemnify and hold harmless DNAi Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; any health, fitness, or financial decisions you make based on information from DNAi products; and any claims by your clients (if you are a Trainer) related to workouts or advice facilitated through the Service.
14. Privacy
Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
15. Modifications
We may revise these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the revised Terms. We may modify, suspend, or discontinue the Service at any time with reasonable notice.
16. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violation of these Terms. Trainers may export their data before termination. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall survive.
17. Governing Law and Dispute Resolution
17.1 For US Users
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The seat of arbitration shall be Wilmington, Delaware. Either party may bring individual claims in small claims court if they qualify.
17.2 For EU Users
Where mandatory consumer protection laws apply, nothing in these Terms limits your statutory rights. The arbitration clause in Section 17.1 does not apply to EU consumers. EU users may bring claims in the courts of their country of residence.
17.3 For India Users
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka. DNAi Systems complies with the Digital Personal Data Protection Act, 2023. Where mandatory consumer protection laws apply (including the Consumer Protection Act, 2019), nothing in these Terms — including the limitation of liability and liability cap — limits your statutory rights or available remedies for negligence causing personal injury.
17.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any product-specific agreements, constitute the entire agreement between you and DNAi Systems.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- No Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our written consent. We may assign without restriction.

YOU ACKNOWLEDGE THAT DNAI PRODUCTS PROVIDE AI-GENERATED INFORMATION FOR EDUCATIONAL PURPOSES AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, FITNESS, OR FINANCIAL ADVICE. YOU ASSUME ALL RISKS ASSOCIATED WITH DECISIONS MADE BASED ON INFORMATION FROM DNAI PRODUCTS.
